Summary: Every company faces due diligence. The question is whether you prepare for it—or scramble when it arrives.
At our latest Technology Leaders of the Delaware Valley meeting at Merchantville Country Club 1892 Country Club, we heard from Alan Rihm, Mike Rihm, and Nate Rihm, who shared their experience building their first product, Diligence Ready. The discussion addressed a problem many founders and executives don’t think about until a transaction is already underway. A cap table that doesn’t reconcile. Missing agreements. A data room assembled over a weekend. Numbers that raise questions just when investors or buyers are taking their closest look at the company.
Those aren’t simply administrative problems. They can cost time, credibility, and potentially the deal itself. The idea behind Diligence Ready is straightforward: make due diligence readiness an ongoing business discipline rather than a last-minute project. Their platform is designed to keep cap tables accurate, transactions matched to their underlying agreements, and the diligence room continuously prepared.
It was a great discussion about entrepreneurship, product development, corporate governance, and an issue every growing company will eventually face.
Thank you to Alan, Michael, and Nate for sharing both the product and the lessons they learned while building it.
